Salina Vita Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Salina Vita website, any related mobile or digital experience, our quote and ordering services, and any purchase of goods or services from Salina Vita (“Salina Vita,” “we,” “us,” or “our”). Please read them carefully.
1. Binding Agreement
By accessing or using our website, requesting a quote, placing an order, clicking to accept these Terms, or otherwise transacting with Salina Vita electronically, you agree to be bound by these Terms and by our Privacy Policy, Shipping/Returns information, and any other policies expressly incorporated here by reference. If you do not agree, do not use the website or place an order.
You agree that your use of the website, your electronic submissions, and any click-to-accept or checkout acknowledgment may constitute a binding agreement between you and Salina Vita. Florida law recognizes electronic records, electronic signatures, and electronic contracts as legally effective and enforceable. (Online Sunshine)
2. Our Role as an Authorized Dealer and Fulfillment Model
Salina Vita is an authorized reseller/dealer of select marine electronics, accessories, and related equipment. Salina Vita is the seller of record for purchases made through our website.
To provide a refined, efficient, and discreet fulfillment experience, all warehousing, logistics, and shipping are handled through our authorized distribution and fulfillment partner, CWR Wholesale Distribution (“CWR Distribution”), which publicly describes itself as a marine drop-shipper and wholesale distributor. CWR also publicly states that it offers blind drop-shipping that allows dealers to use their own labels and slips. (CWR Distribution)
Nothing in these Terms makes CWR a direct contracting party with the retail customer. Your contract of sale is with Salina Vita.
3. Eligibility and Permitted Use
You represent that you are legally capable of entering into a binding agreement and of making purchases through the website. If you are acting on behalf of a vessel owner, captain, management company, yard, marina, or business entity, you represent that you have authority to bind that person or entity.
You may use the website only for lawful purposes and only in a manner consistent with these Terms. You may not misuse the website, interfere with its operation, attempt unauthorized access, or use any content or data for unlawful scraping, resale, or competitive misuse.
4. Product Information, Fitment, and Compatibility Responsibility
Salina Vita presents premium marine equipment for sophisticated buyers, but marine electronics are technically complex and highly vessel-specific. You, your captain, your installer, and/or your marine technician are solely responsible for confirming that any product you purchase is compatible with your vessel’s systems, helm architecture, power requirements, network topology, mount geometry, transducer path, steering system, software ecosystem, and intended use before purchase.
Any recommendations, product guidance, compatibility commentary, or curation assistance provided by Salina Vita are offered as a service and are based on the information you provide to us. Unless Salina Vita expressly confirms compatibility in writing after receiving complete technical information, no general product suggestion or informal communication shall be treated as a binding representation of compatibility, fitness, or installation suitability.
Professional installation by qualified marine personnel is strongly recommended and may be required by the OEM for certain warranty or onboard-service benefits.
5. Pricing, Catalog Accuracy, Quotes, and Order Acceptance
All prices, product listings, specifications, and availability are subject to change without notice. Quotes, estimates, and cart prices are invitations to purchase and do not constitute final acceptance by Salina Vita.
Because Salina Vita operates in a dynamic authorized-dealer and distributor environment for high-value marine electronics, order acceptance is expressly conditioned on:

successful payment authorization,
-
inventory verification,
-
pricing verification,
-
fraud/risk review where applicable, and
-
our ability to source the ordered item through our authorized fulfillment channel.
We reserve the right, in our sole discretion, to refuse, limit, hold, correct, or cancel any order at any time before shipment if we discover:

a pricing error,
-
a typographical or catalog error,
-
an inventory discrepancy,
-
suspected fraud,
-
an export, sanctions, or payment-compliance issue,
-
a shipping or delivery limitation,
-
or any other circumstance making fulfillment impracticable or commercially unreasonable.
If we cancel an order after payment has been authorized or captured, our sole obligation will be to reverse the authorization or issue a refund of the amount charged. CWR’s published terms state that it attempts to publish an accurate catalog, is not responsible for typographical errors, and that prices may change at any time. (CWR Distribution)
6. Payment Authorization and Order Review
By submitting payment information, you represent that you are authorized to use the selected payment method and that all payment, billing, and shipping information you provide is accurate.
Salina Vita may place high-value orders into review before release to fulfillment. We may request additional verification, confirm delivery contacts, require the use of a verified billing method, limit expedited shipping, or cancel any order that does not satisfy our fraud-prevention or transaction-security standards.
For premium marine electronics, this review process is part of our effort to protect both the customer and the transaction.
7. Shipping, Fulfillment, Processing Times, and Blind Drop-Shipment
Orders for items that are currently in stock are generally eligible for same-day processing/shipment when received by 4:00 PM Eastern Time, subject to payment authorization, order review, and stock confirmation. CWR’s published FAQ states that orders placed by 4:00 PM EST ship the same day so long as everything requested is currently in stock. (CWR Distribution)
Salina Vita uses a blind drop-shipping model through CWR Distribution. CWR states that, for dealer drop shipments, the shipping label displays the dealer’s company name and return address, that CWR is “totally blind” on the shipment, and that packing slips in the box do not show pricing. Accordingly, orders may arrive in plain or carrier-standard packaging without CWR branding on the outer carton. (CWR Distribution)
All shipping dates are estimates only, not guarantees. Delays may occur due to manufacturer backorders, carrier constraints, weather, customs, dimensional-freight handling, address issues, fraud review, or other events outside our reasonable control.
Salina Vita may require adult signature confirmation or additional delivery controls on high-value orders.
8. Title and Risk of Loss
For all products sold by Salina Vita, title to and risk of loss pass to the customer when the goods are delivered by Salina Vita or our fulfillment partner to the carrier at the point of shipment.
Once the carrier has accepted the shipment, you bear the risk of loss, theft, delay, or damage in transit, subject to any carrier insurance, delivery-confirmation processes, or non-waivable rights under applicable law. You agree to inspect all shipments promptly upon delivery, retain all packaging in the event of visible or concealed damage, and notify us without undue delay if there is a transit issue.
9. Delivery Addresses, Yard/Marina Deliveries, and Customer Instructions
You are responsible for providing a complete and accurate delivery address, including any marina, yard, dockmaster, captain, management company, or receiving-contact details required for successful delivery.
If you request delivery to a marina, yard, freight-forwarder, or other third-party receiving location, you assume responsibility for the accuracy of those instructions and for the receiving party’s acceptance and safeguarding of the shipment once delivered.
10. Returns, RMAs, Restocking, and Final-Sale Items
Salina Vita follows a strict, authorization-based return process in line with our fulfillment partner’s current published standards.
Eligible merchandise may be returned only if:

the return is requested within 30 days from the date of receipt,
-
an RMA (Return Merchandise Authorization) number is obtained before any return is sent,
-
the product is complete,
-
the product is in its original packaging, and
-
the product is in resalable condition.
Certain items are not returnable, including:

non-stock items,
-
opened or unsealed DVDs, CDs, and cartography, unless defective,
-
and any other items we identify in writing as final sale, special-order, or manufacturer-restricted.
Returned merchandise may be subject to a restocking fee of up to 15%. CWR’s published FAQ and Terms & Conditions state each of these requirements expressly. (CWR Distribution)
No return may be sent without an RMA number. Returned items that arrive without authorization, incomplete, damaged by poor repacking, altered, installed, registered, or not in resaleable condition may be refused or subject to additional deductions to the maximum extent permitted by law.
Unless the return is due to our verified shipping error or a product that arrived defective in a manner recognized under applicable law, original shipping charges are non-refundable and approved return shipping is your responsibility.
11. OEM Warranty and Service; No Independent Salina Vita Warranty
Salina Vita does not provide any independent product warranty, repair warranty, or technical performance guarantee beyond any rights that cannot lawfully be disclaimed.
All technical support, diagnostics, service, repairs, replacement determinations, firmware/service interventions, and warranty claims must be pursued directly with the relevant Original Equipment Manufacturer (“OEM”) or its authorized service network, including brands such as Garmin, Raymarine, Furuno, and other OEMs we sell.
CWR’s published FAQ and Terms & Conditions state that units requiring service, whether warranty or otherwise, should be returned directly to the appropriate manufacturer. (CWR Distribution)
Salina Vita may, at its discretion, assist with identifying the correct OEM support path, but any such assistance is purely a courtesy and does not create an independent service obligation, warranty obligation, or acceptance of responsibility for the manufacturer’s performance, turnaround, or decision.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, except for any non-waivable consumer rights and any manufacturer warranty that may apply directly from the OEM, all products, services, site content, and order-related services are provided by Salina Vita on an “as is” and “as available” basis.
Salina Vita disclaims all express, implied, and statutory warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and compatibility with your particular vessel or onboard systems, except as expressly stated in a written agreement signed by Salina Vita.
13. Limitation of Liability
To the maximum extent permitted by law, Salina Vita shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of use, loss of charter revenue, loss of time, loss of enjoyment, loss of data, loss of profits, vessel downtime, installation costs, haul-out costs, survey costs, technician costs, or marine-service charges arising from or relating to:

the use of or inability to use the website,
-
the purchase or use of any product,
-
product delay or nonavailability,
-
compatibility or fitment issues,
-
installation errors,
-
OEM service outcomes,
-
or transit issues after risk of loss has passed to the customer.
To the maximum extent permitted by law, Salina Vita’s total aggregate liability for any claim arising from a purchase or use of the website shall not exceed the amount actually paid by you to Salina Vita for the specific product giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
14. Indemnification
You agree to defend, indemnify, and hold harmless Salina Vita, its owners, officers, affiliates, contractors, and service providers from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

your breach of these Terms,

your misuse of the website,
-
inaccurate delivery or vessel information you provide,
-
your installation, operation, or misuse of a product,
-
or your violation of any law or third-party rights.
15. Intellectual Property
All website content, design elements, graphics, copy, visual layouts, branding, and proprietary merchandising materials on the Salina Vita website are owned by Salina Vita or used with permission. You may not reproduce, republish, distribute, modify, scrape, or exploit any site content without prior written permission, except for your own personal, non-commercial use consistent with these Terms.
Manufacturer names, model names, trademarks, and product imagery remain the property of their respective owners.
16. Governing Law and Venue
These Terms, and any dispute arising out of or relating to them or your use of the website or purchase of products from Salina Vita, shall be governed by the laws of the State of Florida, without regard to conflict-of-law rules.
You agree that any dispute not otherwise resolved informally shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction of those courts.
17. Electronic Communications
By using the website or communicating with us electronically, you consent to receive communications from us electronically, including by email, website notice, order-status update, SMS where you have opted in, or other electronic means. You agree that such electronic communications satisfy any legal requirement that communications be in writing, subject to any non-waivable rights under applicable law. Florida’s electronic-transactions statute recognizes the legal effect of electronic records and signatures and permits contracting by electronic means where the parties so agree. (Online Sunshine)
18. Changes to These Terms
We may update these Terms from time to time to reflect operational, legal, or commercial changes. The revised version will be effective as of the updated “Effective Date” posted above.
Changes will apply prospectively, not retroactively, unless required by law. Your continued use of the website after revised Terms become effective constitutes acceptance of the updated Terms.
